Insolvency and Restructuring

Michael Goldman - CPA,  MBA

Michael Goldman is an entrepreneur and a teacher.  He has been a corporate manager and has an insider's perspective of how companies should operate.  He brings all of these perspectives to each of his cases.

Turnaround Management

Turnaround Management is a process dedicated to corporate renewal.   It involves management review and root failure causes analysis followed by development and implementation of a corrective action plan.

Michael Goldman's Approach to Insolvency:

Running out of cash is NEVER the company's real problem.  It is a symptom caused by other underlying problems in the business. Until Management understands and accepts this, the company that is running out of cash will remain insolvent or headed towards insolvency.  Putting in more money without addressing the root causes of the insolvency is just putting more money into a deepening hole.

When a business is in trouble, time is of the essence.  Typically resources are leaking out in all different directions.  This is not the time for on-the-job-training, you need someone who has done this before, knows what to expect, knows how the various parties are looking at this case, and knows what works.

What clients appreciate most about Michael Goldman is that he is strategic and fast thinking with a strong ability to quickly grasp the situation and envision multiple possibilities.  He has a high tolerance for ambiguity, listens well, and incorporates both creativity and insight into his problem solving and negotiating skills.

Distressed situations are seldom resolved in a linear process.  Being intelligent, analytical, and detail oriented is necessary, but not enough.  Michael Goldman also understands people as well as the numbers and is able to remain composed and confident under stress.  This ability makes Michael both persuasive and trustworthy in presenting and implementing solutions.

When you need someone to negotiate payments, terminate employees, pull meaningful information out of an accounting nightmare, manage a liquidation, or testify as to common practices in real live businesses, don't you want someone who's been there and lived through it on a constant, day-to-day basis?

If you are dealing with a bankruptcy or insolvency situation, you or your client has already lost money.  You do not need to aggravate the situation by paying firms with beautiful atriums, training programs for staff that constantly turns over, social media advertising campaigns, and other overhead that is not contributing to resolving your issues.  Michael Goldman gets in fast, diagnoses the problem and implements solutions, ant gets out all at a cost your situation can justify.  When you want some one who has been there before and knows what it takes to get through tough times, call Michael Goldman.  Services he provides include:

  • Defining the company's core business, identifying the company's problems, and assessing the company's long-term viability
  • Managing the change process needed for successful turnaround, including identifying the interests and motivations of each stakeholder and building a consensus that ultimately rehabilitates the company
  • Define the end game - establish the goals of the rehabilitation and keep the debtor, the creditors, management, equity, and other stakeholders all focused on getting across the finish line
  • Monitoring the company's business operations and/or compliance with the restructuring plan
  • Taking control of the company's cash and instilling adequate and appropriate cash management
  • Assessing the adequacy of the company's financial reporting  and information systems
  • Preparing an analysis of the impact of a bankruptcy on the debtor's operations and on the potential recoveries to the creditors.  Assess strategic and financial alternatives to bankruptcy
  • Implement Debt/equity restructurings
  • Pre-bankruptcy planning
  • Preparation and/or review of bankruptcy schedules
  • Claims investigation and adjudication
  • Business and asset valuations
  • Preference actions, fraudulent conveyances - solvency analysis, negotiations, testifying, etc.
  • Negotiate with creditors and sources of financing
  • Serve as Trustee, Assignee, Chief Restructuring Officer, or Debtor in Possession overseeing operations and safeguarding business assets

Michael Goldman's experience, training, and expertise allow him to quickly determine how to monitor the situation, quickly respond to whatever problems are found, and deal with the problems as opposed to symptoms.  Having been there many times before makes it easier to stay calm, tough, and realistic.

While there are constant themes throughout most turnaround situations, Michael Goldman also recognizes that every situation is unique, and that there is no "one size fits all" approach.  When he makes a recommendation in a difficult area such as terminating employees or telling your vendors that there is no cash for them, he's been there before.  Anybody can prepare a spreadsheet telling you to fire 10% of the staff and get extended payment terms.  The person that can tell you how to do it, what to expect when you do it, how to react to that reaction, and even do it for you if necessary, is a lot harder to find.  Michael Goldman is that person.
